These Terms form an agreement between QAWebPrints Infocorp LLP (“QAWebPrints”, “CuetsApp”, “we”, “us” or “our”) and the organization or person using the service (“Customer”, “you” or “your”). If you do not agree, do not use the service.

CuetsApp provides business messaging onboarding, account and branch configuration, messaging APIs, template mapping, message queuing, webhook processing, status tracking, usage reporting, compliance controls and related support. Features may depend on the selected plan, connected application, region and third-party platform availability.

CuetsApp may be integrated with MedeCue and other applications. A connected application may have separate terms that also apply.

• You must provide accurate information and keep it current.
• You are responsible for users, roles, credentials, API keys and all activity under your organization.
• You must promptly remove access for former employees or unauthorized users.
• You must use company-controlled email addresses where reasonably possible and enable available security controls.
• You must notify us immediately of suspected compromise or unauthorized activity.

CuetsApp is an independent product of QAWebPrints and is not affiliated with or endorsed by WhatsApp LLC or Meta Platforms, Inc. Use of WhatsApp Business Platform is also subject to the applicable Meta and WhatsApp terms, policies, technical restrictions, pricing and account decisions.

Unless otherwise agreed in writing, the Customer should own and control its Meta Business Portfolio, WhatsApp Business Account, phone numbers, business identity and Meta billing relationship. QAWebPrints may receive authorized technical access necessary to provide the service.

We do not guarantee approval of business verification, display names, templates, phone numbers, messaging limits or account access. Meta or WhatsApp may change, restrict or discontinue features at any time.

You are solely responsible for:

• Obtaining and maintaining valid recipient consent or another lawful basis.
• The accuracy, legality and appropriateness of message content, templates, links and attachments.
• Honouring opt-out, deletion and privacy requests.
• Maintaining required privacy notices, records and regulatory approvals.
• Ensuring branch users send only through authorized accounts and numbers.
• Protecting medical, financial, identity and other sensitive information.
• Paying applicable third-party messaging charges, taxes and subscription fees.
• Responding to recipients and providing an appropriate human support channel.

You must not use CuetsApp to:

• Send spam, unsolicited bulk messages or communications to purchased, scraped or unlawfully obtained contact lists.
• Mislead recipients about the sender, impersonate another organization or conceal the purpose of a message.
• Send illegal, fraudulent, abusive, discriminatory, harmful, deceptive or infringing material.
• Bypass messaging limits, opt-outs, template rules, quality controls, security controls or account restrictions.
• Probe, disrupt, reverse engineer, overload or gain unauthorized access to the service.
• Use unofficial WhatsApp automation in combination with CuetsApp to evade platform rules.
• Resell or sublicense the service unless expressly authorized in writing.

We may investigate suspected misuse and apply limits, suspend sending, preserve evidence or terminate access.

Where a Customer is a laboratory, clinic or healthcare organization, it should avoid placing detailed diagnosis or sensitive test results directly in message text. Secure, expiring links with recipient verification should be used where appropriate. The Customer determines whether its intended use is lawful and suitable under applicable healthcare and privacy requirements.

CuetsApp fees may include onboarding, subscription, additional users, branches, phone numbers, premium support, usage or other agreed charges. Meta, WhatsApp, telecom, payment-processing and connected-application charges are separate unless a written order states otherwise.

Invoices, due dates, taxes, renewals and cancellation terms will be stated in the applicable order, plan or invoice. Estimated Meta usage shown in CuetsApp is informational and may differ from the final third-party invoice.

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Planned maintenance, internet failures, third-party outages, customer configuration, policy enforcement and events beyond our reasonable control may affect availability. We may modify features to improve security, reliability, compliance or compatibility.

QAWebPrints owns CuetsApp, its software, APIs, documentation, designs, trademarks and related intellectual property, excluding Customer Data and third-party materials. Subject to payment and compliance with these Terms, we grant the Customer a limited, non-exclusive, non-transferable right to use CuetsApp for internal business purposes during the subscription term.

The Customer retains ownership of its business information, message content and data. The Customer grants QAWebPrints the limited rights necessary to host, process, transmit, secure and support that data for the service.

Each party will use reasonable care to protect the other party’s confidential information and use it only for the agreement. Confidentiality obligations do not apply to information that is public without breach, independently developed, lawfully received from another source or required to be disclosed by law.

We may suspend or restrict access where reasonably necessary to address non-payment, security risk, legal obligations, platform-policy violations, abusive traffic or harm to other customers. Where practical, we will notify the Customer and provide an opportunity to cure the issue.

Upon termination, the Customer must stop using CuetsApp and may request export or deletion subject to the plan, contract, retention requirements and technical feasibility. Disconnecting CuetsApp does not automatically delete a Customer’s independently owned Meta assets.

To the maximum extent permitted by law, the service is provided on an “as available” basis. QAWebPrints disclaims implied warranties not expressly stated in a signed agreement. We are not responsible for third-party platform decisions, recipient devices, carrier failures, inaccurate Customer Data or unlawful Customer instructions.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive or consequential damages, or loss of profit, revenue, goodwill or data. Any aggregate liability cap should be defined in the applicable order or master service agreement. Nothing in these Terms excludes liability that cannot legally be excluded.

To the extent permitted by law, the Customer will defend and indemnify QAWebPrints against third-party claims arising from the Customer’s message content, recipient lists, lack of consent, unlawful instructions, misuse of the service or violation of applicable third-party terms.

These Terms, together with the applicable order, privacy policy and data-processing terms, form the agreement. A failure to enforce a provision is not a waiver. If a provision is unenforceable, the remainder continues. The Customer may not assign the agreement without written consent, except as part of a permitted business reorganization. QAWebPrints may use subcontractors while remaining responsible for its contractual obligations.

The governing law, courts and dispute process should be specified in the signed customer agreement or order form. Until then, the parties should seek good-faith commercial resolution before formal proceedings.
